Brexit: Consob warns operators about the measures to be taken by 2020 (Press release of 26 March 2020)

COMUNICATO STAMPA

Consob ha pubblicato oggi tre Richiami di attenzione (Richiami n. 3/20, n. 4/20 e n. 5/20 del 26 marzo 2020) che specificano le misure che gli operatori devono adottare entro il 2020 a seguito della ratifica dell'accordo di recesso del Regno Unito dall'Unione Europea (UE).

L'attenzione degli operatori britannici che prestano servizi di investimento in Italia è stata richiamata sulla necessità di adottare tutte le misure per assicurare la continuità operativa nel nostro Paese o per realizzare, se del caso, un'ordinata fuoriuscita dal mercato domestico. Gli operatori dovranno anche fornire alla clientela italiana informazioni aggiornate sulle conseguenze delle mutate condizioni operative discendenti dalla Brexit, anche con riferimento alle specifiche implicazioni per i contratti derivati OTC in essere.

Il Richiamo (n. 3/20 del 26 marzo 2020) si è reso necessario dato che è superata la disciplina transitoria dettata dal decreto legge n. 22 del 25 marzo 2019 per il caso di no-deal Brexit. Le connesse Comunicazioni Consob così come le notifiche inviate dagli operatori alla Consob ai sensi del decreto, non sono, pertanto, più valide. Non sono più efficaci neanche i provvedimenti adottati dalla Consob nel 2019 per assicurare la continuità operativa delle sedi di negoziazione italiane e britanniche.

È iniziato, infatti, un nuovo "periodo di transizione", che durerà fino al 31 dicembre 2020 (salvo un'eventuale proroga), in cui la normativa europea continuerà ad applicarsi come se il Regno Unito fosse ancora nell'UE. Successivamente, ai soggetti britannici che opereranno in Italia si applicherà la disciplina prevista per i soggetti extra-UE, così come ai soggetti italiani che opereranno nel Regno Unito.

Per le sedi di negoziazione è stata richiamata (Richiami n. 4/20 e n. 5/20), analogamente, l'attenzione dei gestori delle sedi sul fatto che, qualora intendano operare al termine del periodo di transizione, dovranno presentare tempestivamente alla Consob apposita istanza in base al regime normativo  ad essi applicabile. Inoltre, i gestori delle sedi che hanno già ottenuto dalla Consob nel 2019 (o che avevano comunque presentato istanza a tal fine) il nulla osta, l'autorizzazione o il riconoscimento in caso di no-deal scenario, sono stati invitati a comunicare il permanere o meno del loro interesse ad ottenere il provvedimento di estensione dell'operatività e a segnalare eventuali modifiche intervenute alle informazioni già comunicate in sede di prima istanza.

Consob today published three Warning notices (n. 3/20, n. 4/20 and n. 5/20) that specify the measures to be adopted by the operators within the deadline of 2020 following the approval of the withdrawal agreement of the United Kingdom from the European Union (EU).

British operators providing investment services in Italy have been warned about the need to adopt all the measures to guarantee business continuity in Italy or to carry out, if necessary, an orderly exit from the domestic market. Operators will also have to provide Italian customers with updated information about the consequences of the changed operating conditions deriving from Brexit, also with specific reference to the implications for existing OTC derivative contracts.

The Warning (n. 3/20)  was made necessary due to the overcoming of the transitory discipline dictated by Law Decree no. 22 of 25 March 2019 to the Brexit no-deal case. The related Communications by Consob, as well as the notifications sent by operators to Consob pursuant to the Decree, are therefore no longer valid. The measures adopted by Consob in 2019 to ensure the operational continuity of the Italian and British trading venues are no longer effective, too.

In fact, a new "transition period" has begun, lasting until 31 December 2020 (except for any extension), in which European legislation will continue to apply as if the United Kingdom were still a member of the European Union. Consequently, the rules provided for non-EU subjects will also apply to British entities operating in Italy, as well as to Italian entities operating in the United Kingdom.

For the trading venues, the office managers have been similarly warned (Warnings n. 4/20 and n. 5/20)  about the fact that, if they intend to operate after the end of the transition period, they must promptly submit to Consob a specific request based on the regulatory regime applicable to them. Furthermore, the office managers having already obtained from Consob in 2019 (or, in any case, having filed for this purpose) the clearance, the authorization or the recognition with relation to a no-deal scenario, have been invited to communicate if they are still interested, or not, in obtaining the provision for the extension of their operations as well as to report any changes that have occurred to the information already communicated at the first instance.
