Four Shakespeare Company

Pursuant to Article 99.1a) of Legislative Decree 58/1998, Consob has ordered the precautionary suspension for 90 days of the public offering of capital parts of Four Shakespeare Company Ltd. by that company and by Amministrazioni Immobiliari Dipa (Resolution 13956).

The order had its origin in a financial operation aimed at the public by means of a paid advertisement in a daily newspaper in which Four Shakespeare Company announced its intention of making a film and invited investors wishing to participate in the project to purchase capital parts of the company.

The information gathered suggested that there was a well-founded suspicion that the activity being carried on by Four Shakespeare Company consisted in a public offering for the sale and/or subscription of financial products that constituted solicitation of investors as defined in Article 1.1t) of Legislative Decree 58/1998. Since Consob has neither been notified of such a public offering nor received a copy of the prospectus, as required by Article 94.1 of the Consolidated Law, there are grounds for believing that the activity violates statutory and regulatory provisions governing the solicitation of investors.
