Ghost Technology s.p.a.

Pursuant to Article 99.1b) of Legislative Decree 58/1998, Consob has prohibited the solicitation of investors, by any means, including advertising, with respect to the public offering for the sale and subscription of ordinary shares of Ghost Technology s.p.a. (Resolution 14641 of 8 July 2004).

The order derives from the prospectus published on 5 July 2004, in which a maximum of 200,000 Ghost Technology ordinary shares were offered to the public with a contemporaneous obligation to subscribe to a further 2,520,000 ordinary shares of the same company. The Commission found that the prospectus, published in accordance with Article 33.2d) of Consob Regulation 11971/1999 on issuers, lacked the information necessary in order to allow potential investors to arrive at a well-founded judgment regarding the investment. It concluded, therefore, that the operation was in conflict with Articles 94.2 and 95.1a) of Legislative Decree 58/1998 and with Consob Regulation 11971/1999 on issuers.
