Skyline Italia: public offering suspended
By resolution 17598 of 22 December 2010, Consob applied a 90-day suspension as a precautionary measure, pursuant to art. 99, subsection 1, paragraph b) of Italian Legislative Decree 58/98, on the offering in any form of "Investment Contracts" by Skyline Italia srl to the general public in Italy.
Through Consob investigations, evidence obtained indicates that Skyline Italia srl, with registered office in Rome, is promoting the subscription of "Investment Contracts" in the photovoltaic sector to the general public, via advertising messages through "Radio Radio" and via the web sites www.skylinesun.it and www.italia2020.it. This activity, which involves signing a preliminary agreement by which the subscriber commits to purchasing quotas in a future photovoltaic plant in Valmontone and to investing in a company known as Valle del Sole spa set up to manage that plant, gives grounds to suspect the promotion of a public offering of financial products in infringement of art. 94 of the Consolidated Law on Finance, without prior publication of a prospectus. Hence the urgency of the measures adopted pursuant to art. 99 of the Consolidated Law on Finance.
