Final Terms

Final terms for public offers in Italy relating to base prospectuses approved by NCAs other than Consob

Pursuant to Article 25(4) of the Regulation (EU) 2017/1129 (so-called, Prospectus Regulation), "where the final terms of a base prospectus which has been previously notified are neither included in the base prospectus, nor in a supplement, the competent authority of the home Member State shall communicate them electronically to the competent authority of the host Member State(s) and to ESMA as soon as practicable after they are filed".

 

Pursuant to Article 8(5) of the above-mentioned Prospectus Regulation, "where the final terms are neither included in the base prospectus, nor in a supplement, the issuer shall make them available to the public in accordance with the arrangements set out in Article 21 and file them with the competent authority of the home Member State, as soon as practicable upon offering securities to the public and, where possible, before the beginning of the offer of securities to the public or admission to trading on a regulated market".

 

The Prospectus Regulation does not provide for that the issuer shall communicate the final terms to the competent authority of the host Member State and the Consob, in its capacity as competent authority of the host Member State, does not require any communication in this regard.
