Prospectuses

When securities (equity, non-equity and closed-ended UCITS) are offered to the public or admitted to trading on regulated markets a prospectus must be published, pursuant to article 3 of Regulation (EU) 2017/1129, and it is subject to a prior approval by Consob, pursuant to article 20 of the aforementioned Regulation, except when the exemptions provided for in article 1 of the same Regulation are applicable.

In this section, the following information and documents are made available through specific links, including:

  • in the area “Application for approval/Passport request” the application forms to be used for submitting the application for the approval of the prospectus (or its constituent parts, including the universal registration document) and the supplement, as well as for the request to passport the prospectus/supplement to other EU member States;
  • in the area “Operational instructions”, information relating to the transmission of the application for the approval of a prospectus/supplement to Consob and the obligations required following the approval;
  • in the areas “Regulatory framework on prospectuses” and “Guidelines” references to the relevant provisions regarding prospectuses, as well as to the related guidelines.
